Terms of Service

Please read these terms carefully before using Freya Finance

Important Notice

By accessing, registering for, or using the Freya Finance platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue use of the platform.

1. Definitions and Interpretation

1.1. "Platform" refers to the Freya Finance web application, including all associated services, features, content, and functionality provided through freyafinance.com.

1.2. "User," "you," or "your" refers to any individual or entity that accesses, registers for, or uses the Platform.

1.3. "Services" encompasses all features provided by the Platform, including but not limited to: automated trading bots, backtesting capabilities, AI-powered analysis, strategy development tools, and related functionalities.

1.4. "Subscription" refers to the paid tier plans (Plus, Pro) that provide enhanced access to Platform features.

1.5. "Digital Assets" or "Cryptocurrencies" refers to Bitcoin, Ethereum, and other blockchain-based digital currencies and tokens.

2. Eligibility and Account Registration

2.1. Age Requirement. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to use this Platform.

2.2. Jurisdiction. You represent that your use of the Platform does not violate any laws or regulations applicable in your jurisdiction.

2.3. Account Information. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.

2.4. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys.

2.5. One Account Per User. Each individual may register only one account. Multiple accounts may result in termination without refund.

3. Description of Services

3.1. Platform Purpose. Freya Finance provides tools for cryptocurrency trading automation, strategy backtesting, and portfolio analysis.

3.2. No Financial Advice. The Platform does not provide investment advice, financial planning services, tax advice, or any form of regulated financial services.

3.3. Third-Party Services. The Platform integrates with third-party cryptocurrency exchanges. Your use of such exchanges is subject to their respective terms of service.

3.4. Service Availability. While we strive for continuous availability, the Platform may experience downtime for maintenance or unforeseen technical issues.

4. Subscription Plans, Fees, and Payment

4.1. Subscription Tiers. The Platform offers tiered subscription plans (Free, Plus, Pro) with varying features and limitations.

4.2. Payment Method. Subscription fees are charged from your Freya Finance account balance in USDT (Tether).

4.3. Billing Cycle. Subscriptions are billed monthly from the date of purchase. Each billing period is exactly 30 days from the subscription start date.

4.4. Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless you disable auto-renewal or cancel your subscription. Auto-renewal is enabled by default upon subscription purchase.

4.5. Auto-Renewal Toggle. You may enable or disable auto-renewal at any time through your Profile Settings. Disabling auto-renewal does not cancel your current subscription; your subscription remains active until the end of the current billing period.

4.6. Renewal Timing. Auto-renewal is processed on your subscription expiry date. The subscription fee will be deducted from your account balance at that time.

4.7. Balance Requirements. You are responsible for maintaining sufficient account balance for auto-renewal. If your balance is insufficient at the time of renewal, your subscription will not renew and will be immediately downgraded to the Free tier.

4.8. Renewal Notifications. We will send you a reminder 3 days before your subscription expires if auto-renewal is enabled and your balance may be insufficient. These notifications are sent via email and/or Telegram based on your notification preferences.

4.9. Downgrade on Failed Renewal. If auto-renewal fails due to insufficient balance or if auto-renewal is disabled, your account will be downgraded to the Free tier immediately upon subscription expiry. You will retain access to your data subject to Free tier retention limits.

4.10. Price Changes. We reserve the right to modify subscription prices with at least fourteen (14) days' prior notice.

4.11. Non-Refundable. All subscription fees are non-refundable except as required by applicable law.

5. Deposits and Withdrawals

5.1. Supported Assets. The Platform accepts deposits in USDT (Tether) as the primary settlement currency. Deposits are accepted exclusively in USDT across supported blockchain networks.

5.2. Supported Deposit Networks. The Platform currently supports the following blockchain networks for USDT deposits: Ethereum (ERC-20), BNB Smart Chain (BEP-20), Polygon PoS, Arbitrum, Optimism, Avalanche C-Chain, TRON (TRC-20), Solana, and Aptos. The availability of networks may change at any time without prior notice.

5.3. Deposit Processing. Cryptocurrency deposits are processed automatically upon receiving the required number of blockchain confirmations. Confirmation requirements vary by network and are displayed on the deposit interface. Processing times typically range from 1 to 5 minutes depending on network congestion.

5.4. Deposit Amounts. There is no minimum deposit amount. All valid USDT deposits will be credited to your account upon sufficient blockchain confirmations, regardless of the amount.

5.5. Network Selection. You are solely responsible for selecting the correct blockchain network when making a deposit. Depositing assets on an unsupported network, or sending non-USDT tokens to a USDT deposit address, will result in permanent loss of funds. Freya Finance cannot recover funds sent on incorrect networks under any circumstances.

5.6. Deposit Address Accuracy. Each deposit address is uniquely assigned to your account. You must verify the full address before initiating any transfer. Deposits sent to incorrect addresses cannot be recovered, and Freya Finance bears no liability for such losses.

5.7. Withdrawal Network. All withdrawals are currently processed exclusively via the TRON (TRC-20) network. You must provide a valid TRON-compatible USDT wallet address to receive withdrawals.

5.8. Withdrawal Processing. Withdrawal requests are typically processed within 1-5 business days, subject to security review.

5.9. Withdrawal Fees. A network transaction fee applies to all withdrawals and is clearly displayed before confirmation. The fee is deducted from the withdrawal amount.

5.10. Verification Requirements. We may require additional identity verification for large withdrawals, unusual activity patterns, or flagged accounts in accordance with our AML policies.

5.11. Account Balance. Your account balance is denominated in USDT and is updated in real-time upon successful deposit confirmation. The balance displayed on the Platform is the authoritative record of your funds.

6. Anti-Money Laundering (AML) Compliance

6.1. Compliance Commitment. Freya Finance maintains robust AML policies in accordance with applicable laws and regulations.

6.2. User Representations. By using the Platform, you represent that all funds are from legitimate sources and not derived from illegal activities.

6.3. Monitoring and Reporting. We employ monitoring systems to detect suspicious activities and may report to authorities as required by law.

6.4. Account Suspension. We may suspend accounts suspected of involvement in money laundering or illegal activities without prior notice.

6.5. Cooperation with Authorities. We will cooperate with law enforcement in investigations related to illegal activities.

7. API Keys and Exchange Connections

7.1. Connecting an Exchange. Automated trading requires a valid API key from a supported exchange. You can create the key on the exchange and enter it yourself, or you can authorize Freya Finance on the exchange's own consent screen, in which case the exchange issues the key to us directly and you never handle it.

7.2. Security Best Practices. If you create the key yourself, enable trading permissions only and never enable withdrawal permissions. Enable IP whitelisting where supported.

7.3. Data Protection. API keys are encrypted with AES-256 through a managed key service before storage, whether you entered them yourself or an exchange issued them to us through its authorization flow. See our Privacy Policy for details.

7.4. Scope of Access. We request only the permissions needed to read your account and place trades. We never request withdrawal or transfer permissions, and we do not use your exchange access for any purpose other than operating the bots and features you configure.

7.5. Revoking Access. You can disconnect an exchange from your Freya Finance settings at any time, which deletes the stored credentials. You can also revoke the authorization directly from the exchange's own security settings, which takes effect immediately and does not depend on us. If bots are still running on that connection, stop them first so that no bot loses access to an account where it holds an open position.

7.6. User Responsibility. You are solely responsible for any trades executed using your API keys.

8. Risk Disclosure and Disclaimer

8.1. High-Risk Activity. Cryptocurrency trading is inherently speculative and carries a high degree of risk. You may lose some or all of your invested capital.

8.2. No Profit Guarantees. Past performance is not indicative of future results. Backtesting results are hypothetical.

8.3. Backtest Accuracy. Backtesting simulations are approximations of real market conditions and are not 100% accurate. Due to factors including but not limited to: market slippage, liquidity variations, exchange API limitations, and historical data quality, actual trading results may differ from backtest results. Freya Finance does not accept liability for any trading losses resulting from decisions based on backtest results.

8.4. Leverage Risk. Trading with leverage magnifies both potential profits and potential losses.

8.5. Technical Risks. Automated trading systems may experience delays, failures, or errors.

8.6. Regulatory Risk. Cryptocurrency regulations vary by jurisdiction and may change.

8.7. Personal Responsibility. All trading decisions are at your own discretion and risk. Only invest funds you can afford to lose.

9. Limitation of Liability

9.1. Maximum Liability. Freya Finance's total liability shall not exceed the subscription fees paid during the twelve (12) months preceding the claim.

9.2. Exclusion of Damages. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, or loss of data.

9.3. Basis of the Bargain. These limitations reflect a reasonable allocation of risk fundamental to the agreement.

10. Indemnification

10.1. You agree to indemnify and hold harmless Freya Finance from claims arising from your use of the Platform, violation of these Terms, or violation of any third-party rights.

11. Termination

11.1. Termination by You. You may terminate your account at any time. Termination does not entitle you to a refund.

11.2. Termination by Us. We may suspend or terminate your account immediately for Terms violations or fraudulent activity.

11.3. Effect of Termination. Upon termination, you must withdraw any remaining balance within thirty (30) days.

11.4. Survival. Sections relating to liability, indemnification, and governing law shall survive termination.

12. Marketplace Terms

12.1. Marketplace Services. The Freya Finance Marketplace allows users to purchase and sell trading strategies ("Strategies" or "Bots"). By using the Marketplace, you agree to additional terms outlined below.

12.2. Strategy Purchases. Purchases are made using your Freya Balance. One-time purchases grant perpetual access; subscription purchases require ongoing payments.

12.3. Pricing Models. The Marketplace supports one-time purchases, monthly subscriptions, and profit-based pricing where creators receive a percentage of trading profits.

12.4. Profit-Based Negative Balance and Debt. When using a profit-based strategy, a commission percentage is deducted from your trading profits and credited to the strategy creator. If your Freya Balance is insufficient to cover a profit-share commission at the time it becomes due, the outstanding amount will be recorded as a debt ("Profit-Share Debt") on your account. Your account balance may become negative as a result of unpaid profit-share obligations.

12.5. Automatic Debt Recovery. Any outstanding Profit-Share Debt will be automatically recovered from your account when funds become available through any means, including but not limited to: deposits, referral commissions, affiliate bonuses, Earn task rewards, or any other balance credit. Debt recovery is processed on a first-in-first-out (FIFO) basis and is deducted automatically without additional notice at the time of recovery. The recovered amount is forwarded to the respective strategy creator(s).

12.6. Debt Acknowledgment. By purchasing a profit-based strategy, you acknowledge and agree that: (a) profit-share commissions may result in a negative account balance; (b) outstanding debts will be automatically recovered from future balance credits; (c) you remain liable for all accumulated Profit-Share Debts regardless of whether you continue using the strategy; and (d) withdrawal requests may be limited or denied while outstanding debts exist on your account.

12.7. Revenue Sharing. Revenue split between creators and Freya Finance varies by subscription tier. Plus tier creators receive 70% of purchase revenue (Freya Finance retains 30%). Pro tier creators receive 80% of purchase revenue (Freya Finance retains 20%). Custom revenue share arrangements (70-95%) may be granted to select creators at Freya Finance's discretion.

12.8. No Performance Guarantees. Strategies are created by third-party users. Freya Finance does not guarantee performance, and past results (including backtest data) do not guarantee future results.

12.9. Configuration Visibility. Strategies may be offered with visible or hidden ("Black Box") configurations. Hidden configurations cannot be viewed, copied, or edited by buyers.

12.10. Creator Responsibilities. Creators must provide accurate descriptions of their strategies and may not make guaranteed profit claims. Misleading performance data or fraudulent descriptions may result in listing removal and account action.

12.11. Buyer Acknowledgment. By purchasing a strategy, you acknowledge that all trading carries risk and you are solely responsible for your trading decisions.

12.12. Refund Policy. Due to the digital nature of products, refunds are limited. Eligible situations include technical malfunctions and significant misrepresentation by the creator. Refunds based on strategy performance or trading losses are not available.

12.13. Intellectual Property. Creators retain ownership of their strategies. Buyers receive a license to use purchased strategies but may not redistribute or resell them.

13. Referral Program

13.1. Program Overview. Freya Finance offers a referral program that allows users to earn commissions by inviting new users to the Platform. Each user receives a unique referral code upon registration.

13.2. Referral Commission. Referrers earn a percentage of the platform commission generated from trades executed by their referred users. The default referral commission rate is 20% of the platform's trading commission. This rate may be modified at Freya Finance's discretion.

13.3. Affiliate Bonuses. From time to time, Freya Finance may offer signup bonuses to new users and referrer bonuses for successful referrals. These promotional bonuses are subject to availability and may be modified or discontinued without prior notice.

13.4. Commission Withdrawal. Accumulated referral commissions may be withdrawn subject to a minimum withdrawal threshold of 110 USDT (including a 10 USDT processing fee). Withdrawal requests are typically processed within 1-5 business days.

13.5. Prohibited Activities. Self-referrals, creating multiple accounts to exploit the program, or any form of referral fraud will result in immediate commission forfeiture and account termination without refund.

13.6. Program Modifications. Freya Finance reserves the right to modify, suspend, or terminate the referral program at any time with reasonable notice to participants.

14. Notifications and Communications

14.1. Service Notifications. By using the Platform, you consent to receiving service-related notifications via email and/or Telegram, including but not limited to: deposit confirmations, withdrawal status updates, subscription reminders, security alerts, and trade execution notifications.

14.2. Notification Preferences. You may manage your notification preferences through the Platform's notification settings. Certain critical notifications (security alerts, subscription changes, deposit/withdrawal confirmations) cannot be disabled.

14.3. Telegram Integration. If you connect your Telegram account, you consent to receiving notifications through Telegram. You may disconnect your Telegram at any time through your account settings.

14.4. Communication Accuracy. You are responsible for maintaining accurate and up-to-date contact information. Freya Finance is not liable for missed notifications due to incorrect contact details.

15. Privacy and Data Protection

15.1. Privacy Policy. Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

15.2. Data Processing. By using the Platform, you consent to the collection and processing of your data as described in our Privacy Policy, including blockchain transaction data, wallet addresses, and trading activity.

15.3. Risk Disclosure. You acknowledge that you have read and understood our Risk Disclosure Statement before using any trading features.

16. Force Majeure

16.1. Freya Finance shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to: blockchain network congestion or outages, cryptocurrency exchange downtime or API failures, internet service disruptions, natural disasters, government actions, cyberattacks, or changes in applicable laws or regulations.

16.2. During a force majeure event, affected obligations are suspended. We will make reasonable efforts to resume normal operations as soon as practicable and notify users of any material service disruptions.

17. Modifications to Terms

17.1. We may modify these Terms with at least fourteen (14) days' prior notice for material changes.

17.2. Continued use of the Platform after notification constitutes acceptance of modified Terms.

18. Governing Law and Dispute Resolution

18.1. Governing Law. These Terms shall be governed by applicable laws without regard to conflict of law principles.

18.2. Dispute Resolution. Disputes shall first be attempted through good-faith negotiation, then binding arbitration.

18.3. Class Action Waiver. Dispute resolution will be conducted individually, not as a class action.

19. Acceptable Use and Prohibited Conduct

19.1. You agree to use the Platform only for its intended purpose of cryptocurrency trading, portfolio management, and related financial activities.

19.2. Prohibited Activities. You shall not: (a) reverse engineer, decompile, or disassemble any part of the Platform; (b) scrape, crawl, or use automated tools to extract data from the Platform without authorization; (c) attempt to gain unauthorized access to other users' accounts, data, or API keys; (d) use the Platform for money laundering, terrorist financing, or any other illegal activity; (e) interfere with or disrupt the Platform's infrastructure, including overloading servers or abusing API rate limits; (f) create multiple accounts to circumvent restrictions, abuse promotions, or manipulate the referral program; (g) distribute malware, viruses, or any harmful code through the Platform.

19.3. Marketplace Conduct. You shall not: (a) publish strategies with deliberately misleading performance data; (b) manipulate reviews or ratings; (c) copy or redistribute purchased strategies; (d) use the Marketplace to promote external services or products.

19.4. Enforcement. Violation of this section may result in immediate account suspension or termination, forfeiture of balances, and referral to law enforcement where applicable.

20. Intellectual Property

20.1. Platform IP. The Freya Finance platform, including its design, user interface, logos, branding, algorithms, trading infrastructure, documentation, and all related content, is the exclusive intellectual property of Freya Finance. All rights are reserved.

20.2. License to Use. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial trading purposes, subject to these Terms.

20.3. User Content. You retain ownership of content you create on the Platform, including trading strategies and bot configurations. By publishing strategies on the Marketplace, you grant Freya Finance a non-exclusive license to display, promote, and distribute your content within the Platform.

20.4. Restrictions. You may not use Freya Finance's name, logo, or branding without prior written consent. You may not copy, modify, or create derivative works based on the Platform's design, code, or features.

21. General Provisions

21.1. Entire Agreement. These Terms, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and Freya Finance regarding your use of the Platform.

21.2. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21.3. No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4. Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
